HUKUM PERJANJIAN

Perjanjian menurut Pasal 1313 Kitab Undang Undang Hukum Perdata berbunyi : “Suatu Perjanjian adalah suatu perbuatan dengan mana satu orang atau lebih mengikatkan dirinya terhadap satu orang lain atau lebih”.

Perjanjian menurut adat disini adalah perjanjian dimana pemilik rumah memberikan ijin kepada orang lain untuk mempergunakan rumahnya sebagai tempat kediaman dengan pembayaran sewa dibelakang (atau juga dapat terjadi pembayaran dimuka).

Untuk sahnya suatu perjanjian diperlukan 4 syarat :
1. sepakat mereka yang mengikatkan dirinya.
2. kecakapan untuk membuat uatu perjanjian.
3. suatu hal tertentu.
4. suatu sebab yang halal.

Macam – Macam Perjanjian
1). Perjanjian dengan Cuma-Cuma dan perjanjian dengan beban
2). Perjanjian sepihak dan perjanjian timbal balik
3). Perjanjian konsensuil, formal dan, riil
4). Perjanjian bernama, tidak bernama dan, campuran

menurut azas konsensualitas, suatu perjanjian dilahirkan pada detik terciptannya sepakat atau persetujuan antara jedua belah pihak mengenai hal-hal yang pokok dari apa yang menjadi obyek perjannjian. sepakat adalah sesuatu persesuaian paham dan kehendak antara dua pihak tersebut apa yang dikehendaki oleh pihak yang satu adalah juga yang dikehendaki oleh pihak yang lainnya, meskipun tidak sejurusan tetapi secara timbal balik. kedua kehendak itu bertemu satu sama lain.

Itikad baik dalam Pasal 1338 ayat (3) KUHPerdata merupakan ukuran objektif untuk menilai pelaksanaan perjanjian, artinya pelaksanaan perjanjian harus mengindahkan norma-norma kepatutan dan kesusilaan. Salah satunya untuk memperoleh hak milik ialah jual beli.
Pelaksanaan perjanjian ialah pemenuhan hak dan kewajiban yang telah diperjanjikan oleh pihak-pihak supaya perjanjian itu mencapai tujuannya.
Jadi perjanjian itu mempunyai kekuatan mengikat dan memaksa. Perjanjian yang telah dibuat secara sah mengikat pihak-pihak, perjanjian tersebut tidak boleh diatur atau dibatalkan secara sepihak saja.

Pembatalan Perjanjian
Suatu perjanjian dapat dibatalkan oleh salah satu pihak yang membuat perjanjian ataupun batal demi hokum. Perjanjian yang dibatalkan oleh salah satu pihak biasanya terjadi karena;
1. Adanya suatu pelanggaran dan pelanggaran tersebut tidak diperbaiki dalam jangka waktu yang ditentukan atau tidak dapat diperbaiki.
2. Pihak pertama melihat adanya kemungkinan pihak kedua mengalami kebangkrutan atau secara financial tidak dapat memenuhi kewajibannya.
3. Terkait resolusi atau perintah pengadilan
4. Terlibat Hukum
5. Tidak lagi memiliki lisensi, kecakapan, atau wewenang dalam melaksanakan perjanjian

HUKUM DAGANG (KUHP)

* Hubungan Hukum Perdata dengan Hukum Dagang

Hukum dagang adalah aturan-aturan hukum yang mengatur hubungan orang yang satu dan lainnya dalam bidang perniagaan. Hukum dagang adalah hukum perdata khusus, KUH Perdata merupakan lex generalis (hukum umum), sedangkan KUHD merupakan lex specialis (hukum khusus). Dalam hubungannya dengan hal tersebut berlaku adagium lex specialis derogate lex generalis (hukum khusus mengesampingkan hukum umum). Khusus untuk bidang perdagangan, Kitab undang-undang hukum dagang (KUHD) dipakai sebagai acuan. Isi KUHD berkaitan erat dengan KUHPerdata, khususnya Buku III. Bisa dikatakan KUHD adalah bagian khusus dari KUHPerdata.

* Berlakunya Hukum Dagang

Perkembangan hokum dagang sebenarnya telah di mulai sejak abad pertengahan eropa (1000/1500) yang terjadi di Negara dan kota-kota di Eropa dan pada zaman itu di Italia dan perancis selatan telah lahir kota-kota sebagai pusat perdagangan (Genoa, Florence, vennetia, Marseille, Barcelona dan Negara-negara lainnya ) . tetapi pada saat itu hokum Romawi (corpus lurus civilis ) tidak dapat menyelsaikan perkara-perkara dalam perdagangan , maka dibuatlah hokum baru di samping hokum Romawi yang berdiri sendiri pada abad ke-16 & ke- 17 yang berlaku bagi golongan yang disebut hokum pedagang (koopmansrecht) khususnya mengatur perkara di bidang perdagangan (peradilan perdagangan ) dan hokum pedagang ini bersifat unifikasi

Karena bertambah pesatnya hubungan dagang maka pada abad ke-17 diadakan kodifikasi dalam hokum dagang oleh mentri keuangan dari raja Louis XIV (1613-1715) yaitu Corbert dengan peraturan (ORDONNANCE DU COMMERCE) 1673. Dan pada tahun 1681 disusun ORDONNANCE DE LA MARINE yang mengatur tenteng kedaulatan

Dan pada tahun 1807 di Perancis di buat hokum dagang tersendiri dari hokum sipil yang ada yaitu (CODE DE COMMERCE ) yang tersusun dari ordonnance du commerce (1673) dan ordonnance du la marine(1838) . Pada saat itu Nederlands menginginkan adanya hokum dagang tersendiri yaitu KUHD belanda , dan pada tahun 1819 drencanakan dalam KUHD ini ada 3 kitab dan tidak mengenal peradilan khusus . lalu pada tahun 1838 akhirnya di sahkan . KUHD Belanda berdasarkan azas konkordansi KUHD belanda 1838 menjadi contoh bagi pemmbuatan KUHD di Indonesia pada tahun 1848 . dan pada akhir abad ke-19 Prof. molengraaff merancang UU kepailitan sebagai buku III di KUHD Nederlands menjadi UU yang berdiri sendiri (1893 berlaku 1896).Dan sampai sekarang KUHD Indonesia memiliki 2 kitab yaitu , tentang dagang umumnya dan tentang hak-hak dan kewajiban yang tertib dari pelayara.

* Pengusaha dan Kewajibannya

Pengusaha adalah setiap orang yang menjalankan perusahaan. orang yang pandai atau berbakat mengenali produk baru, menentukan cara produksi baru, menyusun operasi untuk pengadaan produk baru, memasarkannya, serta mengatur permodalan operasinya.

KEWAJIBAN PENGUSAHA
1. Memberikan ijin kepada buruh untuk beristirahat, menjalankan kewajiban menurut agamanya

2. Dilarang memperkerjakan buruh lebih dari 7 jam sehari dan 40 jam seminggu, kecuali ada ijin penyimpangan

3. Tidak boleh mengadakan diskriminasi upah laki/laki dan perempuan

4. Bagi perusahaan yang memperkerjakan 25 orang buruh atau lebih wajib membuat peraturan perusahaan

5. Wajib membayar upah pekerja pada saat istirahat / libur pada hari libur resmi

6. Wajib memberikan Tunjangan Hari Raya (THR) kepada pekerja yang telah mempunyai masa kerja 3 bulan secara terus menerus atau lebih

7. Wajib mengikut sertakan dalam program Jamsostek


BAB IX
WAJIB DAFTAR PERUSAHAAN

Wajib daftar perusahaan secara sepintas tampaknya adalah hanya masalah teknis administratif. Namun demikian pendaftaran atau daftar perusahaan merupakan hal yang sangat penting.

Pada dasarnya ada 3 pihak yang memperoleh manfaat dari daftar perusahaan tersebut, yaitu:

  1. Pemerintah
  2. Dunia Usaha
  3. Pihak lain yang berkepentingan

Selain itu daftar perusahaan penting sebagai alat pembuktian yang sempurna atau ontentik.

Daftar Perusahaan

Dalam ketentuan Umum Undang – Undang No.3 tahun 1982 disebutkan bahwa :

Daftar Perusahaan adalah Daftar catatan resmi yang diadakan menurut atau berdasarkan ketentuan undang – undang Wajib Daftar Perusahaan atau UU – WDP dan atau peraturan – peratuaran pelaksanannya , dan atau memuat hal – hal yang wajib didaftarkan oleh setiap perusahaan serta disahkan oleh pejabat yang berwenang di Kantor Pendaftaran Perusahaan.

Sebagai tindak lanjut dari pelaksanaan UUWDP pada tahun 1998 diterbitkan Keputusan Menperindag No.12/MPP/Kep/1998 yang kemudian diubah dengan Keputusan Menperindag No.327/MPP/Kep/7/1999 tentang penyelenggaraan Wajib Daftar Perusahaan serta Peraturan Menteri Perdagangan No. 37/M-DAG/PER/9/2007 tentang Penyelenggaraan Wajib Daftar Perusahaan. Keputusan ini dikeluarkan berdasarkan pertimbangan bahwa perlu diadakan penyempurnaan guna kelancaran dan peningkatan kualitas pelayanan pendaftaran perusahaan, pemberian informasi, promosi, kegunaan pendaftaran perusahaan bagi dunia usaha dan masyarakat, meningkatkan peran daftar perusahaan serta menunjuk penyelenggara dan pelaksana WDP. (I.G.Rai Widjaja, 2006: 273)

Jadi dasar penyelenggaraan WDP sebelum dan sewaktu berlakunya UUPT yang lama baik untuk perusahaan yang berbentuk PT, Firma, persekutuan komanditer, Koperasi, perorangan ataupun bentuk perusahaan lainnya diatur dalam UUWDP dan keputusan.

* Ketentuan Umum Wajib Daftar Perusahaan

Dalam Pasal 1 UU Republik Indonesia Nomor 3 Tahun 1982 tentang Wajib Daftar Perusahaan, ketentuan-ketentuan umum yang wajib dipenuhi dalam wajib daftar perusahaan adalah :
a. Daftar Perusahaan adalah daftar catatan resmi yang diadakan menurut atau berdasarkan ketentuan Undang-undang ini dan atau peraturan-peraturan pelaksanaannya, dan memuat hal-hal yang wajib didaftarkan oleh setiap perusahaan serta disahkan oleh pejabat yang berwenang dari kantor pendaftaran perusahaan;
Daftar catatan resmi terdiri formulir-formulir yang memuat catatan lengkap mengenai hal-hal yang wajib didaftarkan;
b. Perusahaan adalah setiap bentuk usaha yang menjalankan setiap jenis usaha yang bersifat tetap dan terus menerus dan yang didirikan, bekerja serta berkedudukan dalam wilayah Negara Republik Indonesia, untuk tujuan memperoleh keuntungan dan atau laba;
Termasuk juga perusahaan-perusahaan yang dimiliki atau bernaung dibawah lembaga-lembaga sosial, misalnya, yayasan.
c. Pengusaha adalah setiap orang perseorangan atau persekutuan atau badan hukum yang menjalankan sesuatu jenis perusahaan;
Dalam hal pengusaha perseorangan, pemilik perusahaan adalah pengusaha yang bersangkutan.
d. Usaha adalah setiap tindakan, perbuatan atau kegiatan apapun dalam bidang perekonomian, yang dilakukan oleh setiap pengusaha untuk tujuan memperoleh keuntungan dan atau laba;
e. Menteri adalah Menteri yang bertanggungjawab dalam bidang perdagangan.

* Tujuan daftar perusahaan :

• Mencatat secara benar-benar keterangan suatu perusahaan meliputi identitas, data serta keterangan lain tentang perusahaan.
• Menyediakan informasi resmi untuk semua pihak yangberkepentingan.
• Menjamin kepastian berusaha bagi dunia usaha.
• Menciptakan iklim dunia usaha yang sehat bagi dunia usaha.
• Terciptanya transparansi dalam kegiatan dunia usaha.
Daftar Perusahaan bersifat terbuka untuk semua pihak. Yang dimaksud dengan sifat terbuka adalah bahwa Daftar Perusahaan itu dapat dipergunakan oleh pihak ketiga sebagai sumber informasi ( Pasal 3 ).
4. Kewajiban Pendaftaran
a. Setiap perusahaan wajib didaftarkan dalam Daftar Perusahaan.
b. Pendaftaran wajib dilakukan oleh pemilik atau pengurus perusahaan yang bersangkutan atau dapat diwakilkan kepada orang lain dengan memberikan surat kuasa yang sah.
c. Apabila perusahaan dimiliki oleh beberapa orang, para pemilik berkewajiban untuk melakukan pendaftaran. Apabila salah seorang daripada mereka telah memenuhi kewajibannya, yang lain dibebaskan daripada kewajiban tersebut.
d. Apabila pemilik dan atau pengurus dari suatu perusahaan yang berkedudukan di wilayah Negara Republik Indonesia tidak bertempat tinggal di wilayah Negara Republik Indonesia, pengurus atau kuasa yang ditugaskan memegang pimpinan perusahaan berkewajiban untuk mendaftarkan ( Pasal 5 ).

* Hal-hal yang Wajib Didaftarkan

Hal-hal yang wajib didaftarkan itu tergantung pada bentuk perusahaan, seperti ; perseroan terbatas, koperasi, persekutuan atau perseorangan. Perbedaan itu terbawa oleh perbedaan bentuk perusahaan.

2. merek perusahaan
3. tanggal pendirian perusahaan
4. jangka waktu berdirinya perusahaan
5. kegiatan pokok dan kegiatan lain dari kegiatan usaha perseroan
6. izin-izin usaha yang dimiliki
7. alamat perusahaan pada waktu didirikan dan perubahan selanjutnya
8. alamat setiap kantor cabang, kantor pembantu, agen serta perwakilan perseroan.
